Who we are and what the Site is
Nuvara ([TBD: legal entity name — e.g., Nuvara LLC], together with its affiliates, "Nuvara," "we," "our," or "us") operates the website at nuvara.com and any associated subdomains or related web properties (collectively, the "Site").
The Site is an educational and informational platform that provides general information about peptide therapies and related wellness protocols, and connects interested users with licensed healthcare providers and a US compounding pharmacy through an affiliated partner network. Nuvara itself does not provide medical care, diagnose or treat any condition, prescribe or dispense medication, fulfill or ship any product, or sell products or services directly to users.
Acceptance of these terms
Your access to and use of the Site is subject to these Terms and Conditions ("Terms") and all applicable laws and regulations. If you do not agree to be bound by these Terms in their entirety, you are prohibited from using the Site or submitting any information through it.
We may revise these Terms at any time by posting an updated version on this page. Any changes are effective upon posting. If you disagree with a change, your sole remedy is to discontinue using the Site. Your continued use of the Site after a change has been posted constitutes your acceptance of the updated Terms.
Eligibility and availability
The Site is intended for users who are at least eighteen (18) years of age or the age of majority in their jurisdiction of residence, whichever is higher. By using the Site, you represent and warrant that you meet this requirement and are agreeing to comply with all applicable laws.
The Site is operated from within the United States and is intended for use by users located in the United States. Availability of Nuvara's waitlist and the downstream services of our affiliated partner network may be further limited by state and may change from time to time based on regulatory requirements.
Waitlist and what happens next
The Site offers a waitlist you can join by submitting basic contact information and the health goals you are interested in. Joining the waitlist does not create a doctor-patient relationship, a prescription, a medical service, or any binding purchase. It signals your interest and allows us to notify you when Nuvara early access opens in your area.
When early access opens in your area, we may introduce you to a licensed healthcare provider or a US compounding pharmacy through our affiliated partner network. Any medical care, consultation, prescription, or fulfillment that follows is a separate transaction between you and that affiliated provider or pharmacy, and is governed by their terms and privacy practices. Any resulting medical consent, payment, and informed consent process is handled by the affiliated provider and pharmacy, not by Nuvara.
Your relationship with affiliated providers and pharmacies
By using the Site, you acknowledge and agree that:
- Nuvara is not a healthcare provider, pharmacy, or medical practice. By using the Site, you are not entering into a doctor-patient or healthcare provider-patient relationship with Nuvara.
- If and when you engage with a licensed healthcare provider or compounding pharmacy through the affiliated partner network, you may enter into a relationship with that provider or pharmacy directly. That relationship is governed by the provider's or pharmacy's own terms, privacy notices, informed consent, and medical decision-making — not by these Terms.
- Nuvara does not control or interfere with the practice of medicine or pharmacy by any affiliated provider or pharmacy, and is not responsible for the medical judgment, diagnosis, treatment, or fulfillment decisions made by those third parties.
- Products described on the Site, including peptide therapies and compounded medications, are prescription products that require a valid prescription from a licensed healthcare provider. Nuvara does not offer or sell these products directly. Obtaining any such product requires a separate consultation with an affiliated provider who determines, in their sole clinical judgment, whether a prescription is appropriate.
Nuvara may have contractual or financial relationships with the entities in its affiliated partner network. Those relationships do not grant Nuvara the authority to make clinical decisions on your behalf.
Privacy
Our Privacy Policy describes how we collect, use, and share personal information in connection with the Site. By using the Site, you acknowledge our Privacy Policy.
License to information you submit
Any information you submit to Nuvara through the Site — including form submissions, communications, and feedback (collectively, "Submissions") — will, to the extent permitted by law, be treated as non-confidential and non-proprietary. You grant Nuvara a worldwide, royalty-free, non-exclusive, sublicensable license to use, reproduce, modify, adapt, publish, and distribute Submissions for the purposes of operating, improving, and providing the Site and related services. You represent and warrant that you have the right to grant this license for the content of your Submissions.
Submissions that contain Protected Information (as defined in our Privacy Policy) are subject to the limitations on use and disclosure set forth in our Privacy Policy and applicable law.
Prohibited use
You may not use or attempt to use the Site for any of the following:
- Any unlawful, unauthorized, fraudulent, or malicious purpose.
- In any way that could damage, disable, overburden, or impair any server or the network(s) connected to any server.

Third-party goods, services, and websites
The Site may reference, link to, or make available services or products offered by third parties, including the licensed healthcare providers and compounding pharmacies in Nuvara's affiliated partner network (collectively, "Third Parties" and "Third-Party Goods and Services"). Your use of any Third-Party Goods and Services, and your interactions with any Third Party — including any consultation, prescription, or fulfillment transaction — is solely between you and that Third Party.
Nuvara is not responsible for, and makes no representations about, any Third-Party Goods and Services, their availability, quality, accuracy, legality, or any content on third-party websites. You should review any third-party terms, privacy notices, and other agreements before using their services or disclosing personal information to them.
You agree that Nuvara is not responsible or liable for any loss or damage of any kind incurred as a result of your use of, or interactions with, any Third Parties or Third-Party Goods and Services. In any dispute between you and a Third Party, Nuvara has no obligation to become involved, and you release Nuvara and its affiliates, officers, directors, employees, and agents from any and all claims arising out of such disputes.
Our right to monitor
We reserve the right, but have no obligation, to monitor the Site and any communications submitted through it. We may remove content that, in our sole discretion, may be unlawful, may subject Nuvara to liability, or may violate these Terms.

Nuvara will terminate the access of repeat infringers where appropriate. If you believe that your copyrighted work has been copied and posted on the Site in a manner that constitutes copyright infringement, please provide our Copyright Agent with the following:

- A description of the copyrighted work you claim has been infringed;

TO THE FULLEST EXTENT PERMITTED BY LAW, NUVARA'S TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY AND ALL CLAIMS ARISING OUT OF OR RELATED TO YOUR USE OF THE SITE SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).
ANY CLAIM ARISING IN CONNECTION WITH YOUR USE OF THE SITE MUST BE BROUGHT WITHIN ONE (1) YEAR OF THE DATE THE EVENT GIVING RISE TO SUCH ACTION OCCURRED.
Some jurisdictions do not allow certain warranty disclaimers or limitations of liability. In those jurisdictions, the scope and duration of any applicable warranties, and the extent of our liability, will be the minimum permitted under applicable law.
Indemnification
You agree to defend, indemnify, and hold harmless Nuvara, its affiliates, and its officers, directors, employees, and agents, and any Third Parties offering products or services in connection with the Site, from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to: (a) your use of the Site; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any fraudulent or willful misconduct on your part. Nuvara reserves the right to assume the exclusive defense and control of any matter subject to indemnification by you, and you agree to cooperate with our defense of any such claim.
Electronic communications
When you use the Site or send us communications, you are communicating with us electronically. You consent to receive communications from us electronically, including by email or SMS, and you agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirement that those communications be in writing.
If you provide us with a phone number and opt in where required, you agree that Nuvara and its service providers may contact you at that number for transactional, informational, or (where permitted) marketing purposes, including through automated technology. Consent to receive marketing communications is not a condition of using the Site, and you may opt out at any time.
Termination
We may terminate or suspend your access to the Site at any time, for any reason, without notice, including for conduct that we believe violates these Terms or is otherwise harmful to us, to other users, or to third parties. The provisions of these Terms concerning intellectual property, user submissions, disclaimers, limitation of liability, indemnification, arbitration, and governing law will survive any termination.

Binding arbitration and class waiver
YOU AND NUVARA AGREE THAT ANY LEGAL CLAIM, DISPUTE, OR OTHER CONTROVERSY BETWEEN YOU AND NUVARA (OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS) ARISING OUT OF OR RELATING IN ANY WAY TO THE SITE, THESE TERMS, OR ANY GOODS, SERVICES, OR ADVERTISING PROVIDED BY NUVARA OR ITS AFFILIATES (COLLECTIVELY, "DISPUTES"), THAT IS NOT RESOLVED BY AN INFORMAL DISPUTE RESOLUTION CONFERENCE (DESCRIBED BELOW), SHALL BE RESOLVED IN CONFIDENTIAL BINDING ARBITRATION CONDUCTED BY THE AMERICAN ARBITRATION ASSOCIATION ("AAA") UNDER ITS CONSUMER ARBITRATION RULES (COLLECTIVELY, "RULES AND PROCEDURES"), RATHER THAN IN COURT. YOU ACKNOWLEDGE THAT YOU ARE VOLUNTARILY AND KNOWINGLY FORFEITING YOUR RIGHT TO A TRIAL BY JURY.
Informal dispute resolution
Before commencing arbitration (or filing in small claims court), the party initiating a Dispute must send a written Notice of Dispute to the other party. Your Notice to us must be sent to [TBD: legal@nuvara.com] or to our mailing address below. The Notice must include: (1) your name, mailing address, email address, and phone number; (2) the name and contact information of your counsel, if any; and (3) a description of your Dispute. Within forty-five (45) days of receiving a Notice, the parties will meet and confer telephonically or by videoconference in a good-faith effort to resolve the Dispute informally. If the Dispute is not resolved within thirty (30) days of the Informal Dispute Resolution Conference, either party may commence arbitration.
Costs and venue
Payment of arbitration costs will be governed by the AAA's fee schedule. Each party agrees to pay its own attorneys' fees and expenses unless a governing statute requires the prevailing party's fees be paid. The arbitration will be conducted in [TBD: arbitration venue — e.g., Wilmington, DE], unless the venue is more than one hundred (100) miles from your residence, in which case it may be conducted within one hundred (100) miles of your residence or by videoconference, as the parties agree.
Class action waiver
YOU AND NUVARA AGREE THAT DISPUTES MUST BE ARBITRATED ON AN INDIVIDUAL BASIS, NOT ON A CLASS, COLLECTIVE, OR REPRESENTATIVE BASIS. THE CLAIMS OF MORE THAN ONE USER CANNOT BE JOINED OR CONSOLIDATED EXCEPT AS SET FORTH BELOW. THE ARBITRATOR MAY AWARD RELIEF ONLY IN FAVOR OF THE INDIVIDUAL PARTY SEEKING RELIEF AND ONLY TO THE EXTENT NECESSARY TO PROVIDE RELIEF NECESSITATED BY THAT PARTY'S INDIVIDUAL CLAIM.
Exceptions
Notwithstanding the above, (a) either party may bring an individual claim in small claims court if the claim qualifies; and (b) a party may seek injunctive or equitable relief in a state or federal court in [TBD: arbitration venue] for Disputes involving intellectual property rights or unauthorized access, and both parties submit to the personal jurisdiction of such courts for those purposes.
Opt out
You may opt out of this Arbitration Agreement within thirty (30) days of the date you first accept any version of these Terms that contains an arbitration agreement. To opt out, send your name, residence address, and email address, together with a clear statement that you wish to opt out of the requirement to arbitrate disputes with Nuvara, to [TBD: legal@nuvara.com] with "Arbitration Opt-Out" in the subject line.
Governing law, venue, and severability
These Terms are governed by the laws of the [TBD: governing state — e.g., State of Delaware], without regard to its conflict of laws principles. Except for disputes subject to arbitration under the section above, any claim or action arising out of or relating to these Terms or the Site must be brought exclusively in the state or federal courts located in [TBD: court venue], and both parties submit to the personal jurisdiction of such courts for those purposes.
All parts of these Terms apply to the maximum extent permitted by law. If any part is found to be unenforceable, that part will be replaced with terms that most closely match the intent of the unenforceable part. The invalidity of any part of these Terms will not affect the validity of the remaining parts. Our failure to enforce any provision of these Terms will not constitute a waiver of such right. Section headings are for convenience only.
Miscellaneous
No agency relationship
Nothing in these Terms creates any partnership, joint venture, employment, or other agency relationship between you and Nuvara or any of its affiliated providers or pharmacies. You may not enter into any contract on behalf of Nuvara.
Assignment
You may not assign any of your rights or obligations under these Terms, and any attempted assignment will be void. Nuvara may assign these Terms, in whole or in part, to any affiliate or to a successor in interest.
Third-party beneficiaries
Except as expressly set forth in these Terms (including the indemnification and arbitration provisions in favor of Nuvara's affiliates, officers, directors, employees, agents, and affiliated providers and pharmacies), these Terms do not create any rights in any other person or entity.
Entire agreement
These Terms, together with our Privacy Policy and any other agreements Nuvara may post on the Site, constitute the entire agreement between you and Nuvara with respect to your use of the Site and supersede any prior agreements.

Any notice from Nuvara to you may be made by email, a posted notice on the Site, or regular mail, in our sole discretion.
